z3box TERMS OF SERVICE Effective Date: April 27, 2026 PLEASE READ THESE TERMS CAREFULLY. These Terms of Service ("Terms") form a binding legal agreement between you ("Customer," "you") and BSQL Networking ("BSQL Networking," "we," "us," or "our"), operating in California, USA, in connection with z3box hosting. By creating an account, ordering a service, or using any z3box Service, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services. 1. SERVICES BSQL Networking offers virtual private server (VPS) hosting, dedicated server rental, and a remote backup service (collectively, the "Services"). The backup service is provided as a VPS without a public IP address, accessed only through a NAT-translated SSH port, and requires client-side encryption: all data must be encrypted on your device or by your client software before transmission. BSQL Networking stores opaque ciphertext only and does not hold your encryption keys. The backup service is intended as a backup target, not a primary or sole copy, and does not include snapshots, replication, or any secondary copy. Services are provided on an as-available basis. 2. ELIGIBILITY AND ACCOUNT You must be at least 18 years old and able to form a legally binding contract under applicable law. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure (passwords, API keys, SSH keys), and for all activity that occurs under your account, authorized or not. You must notify us promptly of any suspected unauthorized access. One person or entity per account; no sharing or transfer without our written consent. We may refuse, suspend, or terminate any account at our sole discretion. 3. FEES, BILLING, AND PAYMENT - Processor. Payments are processed by Stripe under its own privacy policy at https://stripe.com/privacy. We do not collect or store full payment card numbers; we receive only limited transaction metadata (such as confirmation, last four digits, country of issuance, and a transaction identifier). - Prepayment. Services are billed in advance for the selected term and renew automatically at the then-current rate unless cancelled before renewal. Failure to pay by the due date may result in suspension or termination and immediate deletion of data. - Taxes. Fees do not include taxes. You are responsible for all applicable taxes other than taxes on BSQL Networking's net income. - Refunds. Except where required by law, all fees are non-refundable. No refunds for breach-based terminations, partial periods, setup or one-time fees, or provisioned add-ons. - Chargebacks. If you initiate a chargeback or payment dispute, we may immediately suspend or terminate Services, charge a $50 administrative fee per disputed transaction (a reasonable estimate of our costs and not a penalty), refuse future Services, and pursue collection of disputed amounts plus costs and reasonable attorneys' fees. 4. ACCEPTABLE USE POLICY (AUP) You may not use the Services to engage in, facilitate, or host any of the following. This list is illustrative and not exhaustive. - Activity that violates any applicable U.S. federal, state, or local law, or the law of any jurisdiction where the activity has effect. - Child sexual abuse material (CSAM) or any content that sexualizes minors. We report such content to the National Center for Missing & Exploited Children (NCMEC) and law enforcement as required by 18 U.S.C. § 2258A and preserve evidence as required by law. - Sending unsolicited bulk email (spam), running open relays, or violating the CAN-SPAM Act. - Distribution of malware, ransomware, viruses, exploit kits, phishing kits, stalkerware, or credential-stealing tools. - Unauthorized network scanning, intrusion attempts, denial-of-service activity, amplification attacks, or operating DDoS-for-hire services. - IP address spoofing or forging network traffic. - Hosting or distributing pirated software, copyrighted media without authorization, or content that infringes intellectual property rights. - Hosting or distributing content that is defamatory, harassing, threatening, that incites violence or terrorism, or that violates privacy rights (including non-consensual intimate imagery or doxxing). - Cryptocurrency mining without prior written consent. - Operating Tor exit nodes, public open proxies, or open VPN endpoints without prior written consent. - Hosting content or services in violation of U.S. export controls, OFAC sanctions, or providing service to OFAC-sanctioned persons or jurisdictions. You represent that you are not on any U.S. or applicable government restricted-party list. - Adult content involving non-consensual material, revenge pornography, or material that does not comply with 18 U.S.C. § 2257 record-keeping requirements where applicable. - Overburdening network resources, exceeding plan limits, circumventing security features, or interfering with other users. - Reselling or sublicensing the Services without our written consent. We may, at our sole discretion and without notice, investigate suspected violations, take any action we deem appropriate (including content removal, suspension, or termination), preserve relevant data, and cooperate with law enforcement. We are not obligated to monitor your use. Violation of this AUP may result in immediate suspension or termination, with or without notice, and without refund. 5. CUSTOMER CONTENT AND RESPONSIBILITY You retain ownership of the data, software, and content you store on or transmit through the Services ("Customer Content"). You are solely responsible for: (a) the legality of Customer Content; (b) obtaining all rights and licenses required to host and process it; (c) compliance with privacy laws applicable to data you collect from your own end users (including, where relevant, GDPR, UK GDPR, CCPA/CPRA, HIPAA, GLBA, COPPA, PCI DSS); and (d) maintaining your own backups. BSQL Networking acts solely as a passive conduit and provider of computing infrastructure. The backup service requires client-side encryption and is delivered as a VPS without a public IP, reachable only through a NAT-translated SSH port. Because all data is encrypted client-side before transmission, BSQL Networking stores opaque ciphertext and has no ability to inspect, index, or recover the contents of Customer Content. Loss of your encryption keys means permanent loss of access to your data, and BSQL Networking cannot recover it. 6. DMCA AND COPYRIGHT COMPLAINTS BSQL Networking complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512. To submit a notice of claimed infringement, send a written notification meeting the requirements of § 512(c)(3) to our designated agent at abuse@bsql.net. Our designated DMCA agent is registered with the U.S. Copyright Office. We may remove or disable access to allegedly infringing material and will terminate, in appropriate circumstances, the accounts of repeat infringers. Counter-notifications are accepted under § 512(g). 7. ABUSE REPORTS AND LAW ENFORCEMENT Abuse reports may be sent to abuse@bsql.net. We may investigate any report and, where appropriate, suspend service, preserve data, or disclose information. We respond to valid legal process from U.S. authorities (subpoenas, court orders, search warrants) and to emergency requests under 18 U.S.C. § 2702(b)(8)/(c)(4) where there is a good-faith belief of an emergency involving danger of death or serious physical injury. Where legally permitted, we will attempt to notify you before disclosing your data, but we are not obligated to do so or to challenge legal process on your behalf. 8. AVAILABILITY, MAINTENANCE, AND RESOURCE CONTROLS The Services are provided on an "AS IS" and "AS AVAILABLE" basis. BSQL Networking does not guarantee any specific uptime, throughput, latency, or availability and offers no service-level agreement (SLA) or service credits unless separately agreed in writing. Scheduled maintenance, emergency maintenance, hardware failures, network events, and upstream provider issues may cause interruptions. We may apply reasonable resource controls (throttling, rate-limiting, suspension) where your use causes or may cause degradation for others. We may suspend or remediate (at your expense) any Service we reasonably determine to be compromised or endangering our infrastructure or other customers. 9. SUSPENSION AND TERMINATION - By you. You may cancel at any time by written notice to hello@z3box.net. Cancellation takes effect at the end of the current paid term unless we agree otherwise. - By us. We may suspend or terminate the Services, in whole or in part, with or without notice, for any reason, including non-payment, AUP violations, legal risk, or because we are discontinuing the Services. - Effect. Upon termination, suspension, non-payment, or cancellation, your access ends and your data and configurations may be deleted immediately and permanently, with no grace period or post-cancellation retrieval. You are solely responsible for retrieving any data you wish to retain before termination. Provisions that by their nature should survive termination will survive, including Sections 5, 10, 11, 12, 13, 14, 15, 16, 17, and 19. 10. DISCLAIMER OF WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BSQL NETWORKING DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE PRESERVED OR ACCURATE. 11. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) BSQL NETWORKING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, BUSINESS INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) BSQL NETWORKING'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO BSQL NETWORKING FOR THE AFFECTED SERVICE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $50, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. ANY CLAIM MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR IS PERMANENTLY BARRED. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law. 12. INDEMNIFICATION You will indemnify, defend, and hold harmless BSQL Networking and its operator(s) from and against any third-party claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) Customer Content; (c) your violation of these Terms or the AUP; (d) your violation of any law or third-party right (including intellectual property and privacy rights); or (e) any dispute between you and a third party. We may assume exclusive defense and control of any indemnified matter at your expense, and you will cooperate. 13. EXPORT CONTROLS AND SANCTIONS You represent and warrant that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. embargoes or OFAC sanctions, and that you will not use the Services in violation of U.S. export controls, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). 14. GOVERNING LAW AND VENUE These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Any action or proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. 15. MODIFICATIONS TO THE SERVICES AND TERMS We may modify the Services or these Terms at any time. Material changes will be communicated by posting an updated version with a new effective date and, where reasonably practicable, by email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. 16. FORCE MAJEURE BSQL Networking is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, fires, power or network outages, acts of war or terrorism, civil unrest, governmental actions, pandemics, labor disputes, denial-of-service attacks, cyberattacks, or failures of upstream providers. 17. MISCELLANEOUS - Entire agreement. These Terms, together with the Privacy Policy and any order or service-specific addenda, constitute the entire agreement between the parties and supersede all prior agreements on the subject matter. - Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder remains in effect. - No waiver. No waiver is effective unless in writing and signed by us; failure to enforce a provision is not a waiver of the right to enforce it later. - Assignment. You may not assign these Terms without our prior written consent. We may assign freely, including in a merger, acquisition, or sale of assets. - No third-party beneficiaries. These Terms do not create any third-party beneficiary rights. - Independent contractors. The parties are independent contractors. No agency, partnership, or employment relationship is created. - Notices. We may give notices by email, website posting, or other reasonable means. Notices to BSQL Networking must be sent to hello@z3box.net. Notices to you may be sent to the email on file. 18. U.S. GOVERNMENT END USERS The Services are "commercial items" as defined at 48 C.F.R. § 2.101. Government users acquire only the rights set forth in these Terms, consistent with FAR 12.212 and DFARS 227.7202. 19.
